By accessing or using IntelliLetter ("Service," "Platform"), operated by DIGITAL DATA CAPITAL S.R.L., cu CUI 50475197 ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. Our company, established in 2024, is headquartered at Str. Londra, Nr. 32, Subsol, Birou Nr. 11, Municipiul București, Sector 1, Romania.

2. Description of Service

IntelliLetter is an AI-powered platform that helps organizations monitor developments in their domains, curate what matters to their audiences, and generate publication-ready newsletters. Our Service may include:

• Topic, industry, and source configuration for newsletter monitoring
• AI-generated summaries, headlines, body copy, and visuals
• Tools to assemble, preview, and manage newsletters and campaigns
• Integrations with email delivery providers and analytics
• Engagement insights to help you understand audience response

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old to use IntelliLetter. By creating an account, you represent and warrant that you meet this age requirement and have authority to bind any organization on whose behalf you use the Service.

• Maintaining the confidentiality of your credentials
• All activities that occur under your account
• Notifying us promptly of any unauthorized access or suspected breach

4. Integrations and Third-Party Services

By connecting IntelliLetter to your email, analytics, or other external services, you authorize us to:

• Create and manage newsletter drafts or campaigns on your behalf
• Read engagement metrics (such as opens and clicks) to present insights in the platform

4.2 Your Responsibilities

You acknowledge that:

• You are responsible for any costs charged by your email or infrastructure providers
• You must comply with all applicable laws (including anti-spam regulations) and the terms of your third-party providers
• You should review newsletters and campaigns before sending
• You maintain ultimate control over your subscriber lists and external accounts

5. AI-Generated Content

5.1 Content Generation

IntelliLetter uses AI models to generate newsletter content based on your configuration and inputs. While we strive for accuracy, clarity, and relevance:

• AI-generated content may contain errors or omissions
• You are responsible for reviewing and approving content before sending
• We do not guarantee specific engagement or performance results
• You are responsible for ensuring that content complies with applicable laws and your own policies

5.2 Content Ownership

You retain ownership of all content and data you provide to IntelliLetter. AI-generated newsletter content created for you becomes yours once generated. You grant us a limited license to process this content solely for the purpose of providing and improving the Service.

6. Acceptable Use

You agree NOT to use IntelliLetter to:

• Violate any applicable laws or regulations
• Infringe on intellectual property or privacy rights
• Send unsolicited or unlawful communications (including spam)
• Generate or distribute content promoting hate, violence, or illegal activities
• Attempt to gain unauthorized access to systems or data
• Interfere with or disrupt the Service's operation
• Reverse engineer, decompile, or attempt to extract source code
• Resell or white-label the Service without our written consent

7. Fees and Payment

Pricing and payment terms may be communicated separately (e.g., via order forms or commercial agreements). Where applicable, you agree to:

• Pay all fees associated with your use of the Service
• Provide accurate and up-to-date billing information
• Be responsible for any third-party provider fees (e.g., email delivery or infrastructure costs)

We reserve the right to modify pricing with reasonable advance notice where required by law or contract.

8. Intellectual Property

IntelliLetter, including its software, design, features, and branding, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service, except as expressly permitted by us in writing.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT:

• The Service will be uninterrupted, timely, or error-free
• AI-generated content will be accurate, complete, or suitable for every use case
• Your newsletters will achieve any particular engagement or business results

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of or related to your use of IntelliLetter, your breach of these Terms, or your violation of any third-party rights.

11. Termination

11.1 By You

You may terminate your account at any time through the application or by contacting us. Upon termination, you may lose access to data stored in the Service after applicable retention periods.

11.2 By Us

We may suspend or terminate your access to IntelliLetter if you:

• Violate these Terms of Service
• Fail to pay applicable fees (where relevant)
• Engage in fraudulent, abusive, or unlawful activity in connection with the Service

12. Changes to Terms

We may modify these Terms of Service from time to time. We will notify you of material changes via email or through the application where feasible. Your continued use of IntelliLetter after such changes constitutes acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Romania, without regard to its conflict of law principles.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Bucharest, Romania.

14. General Provisions

• Severability: If any provision of these Terms is held invalid, the remaining provisions will remain in full force and effect.
• Entire Agreement: These Terms constitute the entire agreement between you and us regarding your use of IntelliLetter.
• No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
